Terms of service

1. Eligibility and Authority

You represent that you are authorized to enter into these Terms on behalf of yourself or the entity you represent and that you are at least 18 years of age.

2. Services Description

Ferra provides an AI-native structural steel estimating and takeoff platform. Features may evolve over time. Ferra may modify, suspend, or discontinue any aspect of the Services at its discretion.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify Ferra promptly of any unauthorized use.

4. Fees and Payment

Certain Services may require payment. All fees are non-refundable unless otherwise stated in writing. Ferra may update pricing with reasonable notice.

5. Customer Data and Usage Rights

5.1 Customer Data

You retain ownership of all data, documents, drawings, models, and other materials you upload or submit to the Services ("Customer Data").

5.2 License to Use Data

You grant Ferra a worldwide, non-exclusive, royalty-free license to host, store, process, analyze, and use Customer Data solely to provide, maintain, and improve the Services.

5.3 Product Improvement and Learning

You expressly agree that Ferra may use Customer Data, including derived outputs and metadata, to train, improve, and enhance its algorithms, machine learning models, and product functionality.

Ferra will implement reasonable technical and organizational measures to remove, redact, or obfuscate confidential, proprietary, or identifying information from Customer Data prior to its use in model training or product improvement workflows, except where such data is required for the direct provision of the Services.

Any use of Customer Data for training or improvement purposes will be conducted in a manner that does not intentionally identify you, your company, or your specific projects, and Ferra will not disclose Customer Data to third parties in a form that is identifiable to you.

For clarity, Ferra may use anonymized, aggregated, and transformed data derived from Customer Data to improve system performance, accuracy, and functionality.

6. Intellectual Property

Ferra and its licensors retain all rights, title, and interest in and to the Services, including all related intellectual property. These Terms do not grant you ownership of any Ferra IP.

7. Acceptable Use

You agree not to:

• Reverse engineer, copy, or resell the Services
• Use the Services for unlawful purposes
• Interfere with system integrity or security

8. Confidentiality

Each party agrees to protect the other party’s confidential information and use it solely for purposes related to the Services.

9. Disclaimers

The Services are provided "as is" and "as available. " Ferra disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.

9A. Data Export Disclaimer and Assumption of Liability

By exporting any data from the Ferra platform, you expressly acknowledge, represent, and agree as follows:

9A1. Professional Review and Verification

You confirm that you have personally and professionally reviewed, verified, and validated all data, measurements, quantities, classifications, and outputs generated by the Ferra system ("Exported Data") prior to use.

9A2. No Reliance Without Independent Judgment

You acknowledge that the Ferra system provides automated, assistive outputs only and does not replace professional judgment, engineering review, fabrication detailing, or code compliance verification. You agree that you are solely responsible for determining the suitability, accuracy, and completeness of the Exported Data for its intended purpose.

9A3. Assumption of Liability

You expressly assume full and exclusive responsibility and liability for any and all use of the Exported Data in connection with steel fabrication, construction estimating, procurement, detailing, engineering, or related activities, including errors, omissions, discrepancies, misinterpretations, or downstream impacts.

9A4. Release and Waiver

To the maximum extent permitted by law, you release, waive, and discharge Ferra, its officers, employees, contractors, affiliates, and licensors from any claims, damages, losses, liabilities, costs, or causes of action, whether in contract, tort, negligence, strict liability, or otherwise, arising out of or related to your use of or reliance on the Exported Data.

9A5. Indemnification

You agree to indemnify, defend, and hold harmless Ferra from and against any claims, damages, liabilities, penalties, or expenses (including reasonable attorneys’ fees) arising from or related to your use, distribution, or reliance on the Exported Data in any fabrication, construction, or commercial context.

9A6. Binding Effect

You acknowledge that this disclaimer constitutes a legally binding agreement, enforceable to the fullest extent permitted by applicable law, and that you are authorized to accept these terms on behalf of yourself and/or the entity for which you are acting. By exporting data, you affirm that you have read, understood, and agreed to this section.

10. Limitation of Liability

To the maximum extent permitted by law, Ferra shall not be liable for any indirect, incidental, or consequential damages. Ferra’s total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Ferra from claims arising out of your use of the Services or violation of these Terms.

12. Termination

Either party may terminate these Terms upon written notice. Upon termination, your access to

the Services will cease.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law

principles.

14. Changes to Terms

Ferra may update these Terms from time to time. Continued use of the Services constitutes

acceptance of the updated Terms.
